9. Shipping and Delivery

Delivery estimates are not guarantees. We are not responsible for delays caused by carriers, weather, supply-chain disruptions, address errors, customs, force majeure events, or circumstances outside our reasonable control.
Title and risk of loss for products pass to you when the products are delivered to the carrier, unless otherwise required by applicable law.
You are responsible for providing a complete and accurate shipping address. We are not responsible for lost, delayed, returned, or undeliverable packages caused by incorrect or incomplete addresses, unavailable recipients, carrier issues, theft after delivery, or failure to retrieve a package.
If your package is lost, damaged, delayed, stolen, or marked delivered but not received, contact us at support@getcofactor.com. We may assist with carrier claims or replacement options at our discretion and subject to our shipping and return policies.
10. Returns, Refunds, Exchanges, and Cancellations
Our return, refund, exchange, and cancellation policies are described in our Refund Policy, Return Policy, Shipping Policy, and/or other policies posted on our website. Those policies are incorporated into these Terms by reference.
Unless otherwise stated in an applicable policy or required by law:

11. Subscription Terms and Automatic Renewal
This section applies if you purchase a subscription product from Cofactor Health.
11.1 Subscription Overview
Cofactor Health may offer products through automatically renewing subscriptions, including monthly subscriptions and every-three-month subscriptions. Subscription options, billing frequency, renewal dates, pricing, discounts, shipping charges, taxes, and product details will be disclosed at checkout or in your subscription account portal.
By enrolling in a subscription, you agree that your subscription will automatically renew at the frequency selected unless you cancel before the applicable renewal date.
11.2 Automatic Renewal Disclosure
If you purchase a subscription, you authorize Cofactor Health and our payment processors to automatically charge your selected payment method on a recurring basis for the amount then in effect for your subscription, plus applicable taxes, shipping, and fees, unless and until you cancel.
Your subscription will continue until canceled by you or by us in accordance with these Terms.
11.3 Affirmative Consent
By clicking the subscription purchase button, checking any required consent box, or otherwise completing a subscription checkout, you acknowledge and agree to the automatic renewal terms presented at checkout, including:

To avoid being charged for your next subscription order, you must cancel before your next renewal charge is processed. If you cancel after an order has already been processed, your cancellation will apply to future renewals, and the processed order may still ship unless otherwise stated in our policies or required by law.
TO AVOID A RECURRING CHARGE YOU MUST CANCEL YOUR SUBSCRIPTION BY THE LAST DAY OF YOUR BILLING PERIOD.
11.7 Renewal Reminders and Notices
Where required by applicable law, we will provide renewal reminders, price-change notices, material term change notices, or other subscription notices. Notices may be sent by email, SMS, account notification, or other contact method associated with your account.
11.8 Price, Product, and Subscription Changes
We may change subscription prices, product offerings, discounts, shipping charges, billing frequency options, or subscription terms from time to time. If required by law, we will provide notice and obtain consent before changes take effect.
If a subscription product is unavailable, discontinued, reformulated, or delayed, we may cancel the subscription, delay fulfillment, offer a substitute product, or provide other options, subject to applicable law.

If your payment method fails, expires, is declined, or cannot be processed, we may:

By submitting User Content, you grant Cofactor Health a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, reproduce, display, publish, distribute, modify, adapt, create derivative works from, and otherwise exploit the User Content for business, marketing, advertising, promotional, social media, product improvement, and other lawful purposes in any media or format.

To start the informal dispute process, the party asserting a claim must send written notice describing the dispute, requested relief, and contact information.

The parties will attempt in good faith to resolve the dispute for at least 30 days after notice is received before initiating arbitration or court proceedings, except where emergency injunctive relief is sought.
28. Arbitration Agreement
Please read this section carefully. It may significantly affect your legal rights, including your right to file a lawsuit in court.
To the fullest extent permitted by law, you and Cofactor Health agree that any dispute, claim, or controversy arising out of or relating to these Terms, our website, services, products, subscriptions, communications, or your relationship with Cofactor Health will be resolved by binding individual arbitration, rather than in court, except as stated below.
28.1 Exceptions
Either party may bring an individual claim in small claims court if the claim qualifies. Either party may also seek temporary or preliminary injunctive relief in court to protect intellectual property rights, confidential information, security, or unauthorized use of the website or services.
28.2 Arbitration Rules
Arbitration will be administered under its applicable consumer arbitration rules, unless otherwise required by law.
The arbitration will take place in Maricopa county, Arizona, unless the arbitrator determines that remote, telephone, video, or document-only proceedings are appropriate or required by law.
28.3 Arbitration Costs
Arbitration fees and costs will be allocated according to the applicable arbitration rules and applicable law. Each party is responsible for its own attorneys’ fees unless the arbitrator determines otherwise under applicable law.
28.4 Authority of Arbitrator
The arbitrator may award the same individual relief that a court could award, subject to these Terms. The arbitrator may not preside over class, collective, consolidated, private attorney general, or representative proceedings unless required by law.
28.5 Opt-Out Right
You may opt out of this arbitration agreement by sending written notice to support@getcofactor.com within 30 days after first accepting these Terms. Your opt-out notice must include your name, email address, mailing address, and a clear statement that you wish to opt out of arbitration.
If you opt out, all other provisions of these Terms remain in effect.
29. Class Action Waiver
To the fullest extent permitted by law, you and Cofactor Health agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any class, collective, consolidated, private attorney general, or representative action.
Unless both you and Cofactor Health agree otherwise in writing, no arbitrator or court may consolidate more than one person’s claims or preside over any class, collective, consolidated, private attorney general, or representative proceeding.
If this class action waiver is found unenforceable as to a particular claim or request for relief, then only that claim or request for relief may be severed and brought in court, while the remaining claims must proceed in arbitration to the fullest extent permitted by law.
30. Governing Law
These Terms and any disputes arising out of or relating to these Terms, our website, services, products, subscriptions, or your relationship with Cofactor Health are governed by the laws of the States of Arizona, without regard to conflict-of-law principles, except to the extent federal law applies or applicable consumer protection law requires otherwise.
31. Venue
To the extent any dispute is not subject to arbitration and is not eligible for small claims court, you and Cofactor Health agree to the exclusive jurisdiction and venue of the state and federal courts located in Maricopa County, Arizona, unless applicable law requires otherwise.
32. Force Majeure
We will not be liable for any delay, failure, or interruption caused by events beyond our reasonable control, including acts of God, natural disasters, severe weather, pandemics, epidemics, labor disputes, supply-chain disruptions, transportation delays, carrier failures, cyberattacks, power outages, government actions, war, terrorism, civil unrest, equipment failures, or other force majeure events.
33. Termination
We may suspend, restrict, or terminate your access to our website, account, subscriptions, or services at any time, with or without notice, if we believe you have violated these Terms, engaged in fraud or misuse, created risk, harmed our business or customers, or otherwise acted unlawfully or improperly.
You may stop using our website at any time. Subscription cancellation is governed by the Subscription Terms above.
Sections that by their nature should survive termination will survive, including sections related to intellectual property, User Content, disclaimers, limitation of liability, indemnification, dispute resolution, arbitration, governing law, and payment obligations.
34. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the “Last Updated” date above. If changes are material, we may provide additional notice as required by law, such as by posting notice on our website, sending an email, or requesting consent.
Your continued use of our website, services, or subscriptions after updated Terms become effective means you accept the updated Terms.
For subscriptions, material changes to automatic renewal terms will be handled as required by applicable law.
35. Severability
If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.
36. No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of Cofactor Health.
37. Assignment
You may not assign or transfer these Terms or your rights or obligations under these Terms without our prior written consent.
We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, sale of assets, financing, change of control, or operation of law.
38. Entire Agreement
